Liberty Live Holdings is a holding company that owns Quint and a substantial minority stake in Live Nation. It can influence Live Nation through its ownership and board representation, but does not control its day-to-day operations or compel it to pay dividends.
Quint secures tickets and hospitality rights from event organizers, then combines them with experiences, hotels or transportation to sell packages to consumers and corporate customers. Its principal partners include Formula 1, MotoGP, Churchill Downs and the NBA. Events associated with its two largest rightsholders supply most of Liberty Live’s operating revenue, making continued access to those rights central to the business. Quint commits money to ticket inventory and event costs before events take place, so sales and successful event delivery matter to recovering those costs.
Live Nation earns most of its revenue by promoting concerts and selling tickets, while paying artists and production costs. Ticketmaster sells tickets for Live Nation and outside clients and retains part of the service charge; sponsors also pay to reach fans across its events, venues and digital platforms. This business depends on attracting audiences and securing artists, venues and ticketing clients.
Cash reaches Liberty Live through subsidiary or investment distributions and asset sales or other monetizations—not automatically from Live Nation’s ticket receipts. Legal, contractual and debt restrictions can limit subsidiary distributions. Tax obligations tied to its separation from Liberty Media may also constrain asset sales and other strategic transactions.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Live Nation's results and share price are central to Liberty Live's investment value: Liberty Live owned approximately 30% of the concert promoter and ticketing company at December 31, 2025. Watch its concert business, funded mainly by ticket sales, which generated 83% of 2025 revenue including intersegment revenue.
Liberty Live's Quint depends on Liberty Media's Formula 1 and MotoGP for official event rights and ticket inventory that it bundles into premium hospitality packages for fans and corporate customers. Watch race schedules and new package offerings: Formula 1 and MotoGP programs were among the main sources of Quint's revenue growth in 2025.
Madison Square Garden Entertainment Corp. competes with Liberty Live's Live Nation investment for touring artists and live-event bookings. It mainly charges outside promoters to use its venues, so its concert bookings show the competition facing Live Nation's venue business.
StubHub Holdings' StubHub and viagogo marketplaces compete for the ticket buyers and sellers who generate resale fees for Liberty Live's Live Nation investment. Watch its ability to retain sellers and offer a broad ticket selection—the company says both are essential to attracting buyers.
Vivid Seats Inc. competes with Liberty Live's Live Nation investment for online resale of concert, sports and theater tickets. Its Marketplace connects sellers with fans and earns mainly buyer service and delivery fees, making that fee revenue a concrete line to watch alongside Live Nation's resale charges to buyers and sellers.
TKO Group Holdings' On Location competes with Liberty Live's Quint to sell premium sports hospitality and secure relationships with sports rights holders. Watch On Location's rights-holder partnerships, which underpin the access needed to offer premium live-event experiences to fans.
Churchill Downs supplies Kentucky Derby access that Liberty Live's Quint packages into official premium experiences for individual and corporate customers. Watch Derby demand: lower revenue from Quint's Kentucky Derby programs partly offset its growth elsewhere in 2025.
Sphere Entertainment competes with Liberty Live's Live Nation investment for performers and paying audiences through concerts, residencies and premium venue experiences. Watch its concert and residency lineup and premium hospitality offerings, where its venue competes for the same entertainment spending.
Venu Holding Corporation develops and operates amphitheaters and music halls that compete with Liberty Live's Live Nation investment for artists and concertgoers. Watch its planned or developing venues in Oklahoma and Texas: Venu earns a share of ticket sales and ticket fees, while Live Nation's venue business also earns from concessions, parking and premium seating.
Churchill Downs Inc earningsCHDN
Churchill Downs' report will give a read on Kentucky Derby demand, for which Quint packages official access into premium experiences.
Look for Churchill Downs' account of Kentucky Derby demand and event revenue. Firm demand and supported event revenue would suggest fans are still paying to attend, giving Quint a better chance to sell related packages; softer demand would mean a smaller potential customer pool. Churchill Downs' event results do not directly show how many packages Quint sold or what it earned on them.
Fed Interest Rate Decision
For Liberty Live, the Fed’s decision on short-term interest rates matters because higher rates can raise the interest it pays if it draws on its floating-rate Live Nation Margin Loan to help fund company needs.
Expected4.0%Last release4.0%
If it comes in above expectations
Higher rates could raise the cost of any Margin Loan borrowing Liberty Live uses, leaving less cash for other company needs.
If it comes in below expectations
Lower rates could make any Margin Loan borrowing Liberty Live uses cheaper, leaving more cash for other company needs.
Live Nation Entertainment Inc. earningsLYV
Concerts are Live Nation's largest business, so its report shows how that business may affect the earnings Liberty Live records on its roughly 30% stake.
Read Live Nation's concert results alongside the earnings Liberty Live records from affiliates. A stronger concert business would support a larger earnings contribution from this investment; a weaker one could reduce it. Liberty Live does not control Live Nation's daily operations or have the right to require a dividend, so higher recorded earnings would not by themselves mean cash came to Liberty Live.
Liberty Live Holdings, Inc. Series A Liberty Live Group earningsThis company
Liberty Live's report will show whether Quint's premium event packages bring in enough revenue to cover the cost of delivering them and the company's operating expenses.
Read Quint's revenue alongside Liberty Live's operating loss. Quint records revenue as events take place and services are delivered, so quarterly revenue can move with the event schedule; one soft quarter alone does not prove demand weakened. Rising revenue with a narrower operating loss means package income is growing faster than related costs. Flat or falling revenue with a wider loss means event demand, package mix, delivery costs or company expenses are working against the business.
TKO Group Holdings, Inc. earningsTKO
TKO's report will show how its On Location business is faring in sports rights and premium hospitality, where it competes with Quint for access and customer spending.
Look at On Location's rights-holder partnerships and premium hospitality business. More partnerships and stronger package activity would show a rival competing for event access and customers Quint also needs. Stalled partnerships or weaker activity could ease pressure, but might also signal weaker demand for sports experiences overall—not a Quint win by itself.
Madison Square Garden Entertainment Corp. earningsMSGE
Madison Square Garden Entertainment's report will show how its concert bookings are faring, a direct read on venue competition facing Live Nation.
Look at concert bookings and related venue activity. Strong bookings show that artists and promoters have another venue option, sharpening competition when Live Nation seeks concert dates. Weaker bookings could ease that pressure, but might also reflect softer touring demand overall; the broader market helps distinguish the two.
Vivid Seats Inc. earningsSEAT
Vivid Seats earns mainly buyer service and delivery fees on resale tickets, so its report shows how it is competing with Live Nation for resale buyers, sellers and fee revenue.
Read Vivid Seats' marketplace activity alongside buyer fee revenue. Growth in both would show it drawing more resale transactions and competing harder with Live Nation; weakness in both could ease that pressure or simply reflect a cooler resale market. The two together help distinguish the platform's position from the size of the market.
Liberty Media Corporation earningsFWONA
Liberty Media's report will give a read on the Formula 1 and MotoGP event businesses that Quint uses as the basis for premium hospitality packages.
Look at Liberty Media's account of Formula 1 and MotoGP event activity and offerings. A fuller event slate or more available experiences would give Quint a stronger base for attracting package buyers; weaker activity or offerings could limit that opportunity. Liberty Media's report does not establish Quint's sales, rights terms or package profitability.
