Tobacco brands pay 22nd Century Group Inc. to manufacture products they sell under their own names. Cigarettes account for most of this business, with filtered cigars also contributing. Its customers include Smoker Friendly, whose agreement covers manufacturing for existing brands. A small number of large customers supply a substantial share of manufacturing revenue, and none is required to make minimum purchases. These orders also help cover the factory’s fixed costs.
The company also sells VLN cigarettes for adult smokers seeking lower nicotine exposure. Sales remain limited. It now makes VLN versions of client brands and uses those clients’ distribution channels to reach stores. This business depends on consumer acceptance and a small group of farmers growing its proprietary low-nicotine tobacco; it has no alternative supply if those crops fall short.
FDA authorization allows specified reduced-nicotine-exposure claims, not unrestricted health claims. The company has applied to renew that authorization. It also needs additional funding to continue operations and execute its business plan.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
22nd Century Group’s results currently hinge on contract-manufacturing volumes and margins, with Smoker Friendly a key manufacturing and distribution partner and FDA authorization central to VLN’s growth prospects.
Altria competes with 22nd Century Group’s own-brand and contract-made tobacco products by selling Philip Morris USA cigarettes and Middleton cigars to U.S. wholesalers and retailers. Watch its cigarette and cigar business for the competitive pressure facing 22nd Century Group, whose contract manufacturing supplies most of its revenue.
British American Tobacco competes with 22nd Century Group for U.S. adult cigarette consumers, so cigarette demand and nicotine rules matter to both. Watch BAT’s commentary on U.S. cigarette demand and regulation alongside 22nd Century Group’s VLN cigarettes, which the company says could meet the FDA’s reduced-nicotine standard proposed in January 2025 if the rule advances.
Philip Morris International competes for adult smokers who also buy 22nd Century Group’s cigarettes, offering both cigarettes and smoke-free alternatives, though its international focus makes it a less direct comparison than U.S. cigarette producers. Watch its IQOS heated-tobacco business for competition aimed at adults who would otherwise keep smoking.

Altria’s report will show how U.S. cigarette and cigar sales reflect the competitive conditions facing 22nd Century Group’s own brands and contract-made products.
Look at sales in Altria’s cigarette and cigar businesses. Steady sales would indicate support for the market competing for the same U.S. wholesalers, retailers and adult smokers; weaker sales would point to a tougher market for these products, which also challenges 22nd Century Group’s own brands and contract-made products, but would not prove its customers have cut orders.

This report will show whether orders for partner brands and sales of VLN® cigarettes can support 22nd Century Group’s revenue and manufacturing costs.
Read cigarette, filtered-cigar and VLN® revenue alongside gross margin, the share of sales left after product costs and excise taxes. Rising cigarette and VLN® sales with an improving margin would show that partner channels and product mix are beginning to support more profitable growth. Weak revenue or margin would show that orders, product mix or manufacturing costs still weigh on the business.
