Evercore Inc. helps public and private companies and investment firms buy or sell businesses, restructure debt and raise capital. Mergers and acquisitions advisory is its largest business; it also helps clients arrange securities offerings and raise private capital, earning advisory, placement and underwriting fees. It does not provide clients with acquisition financing.
Most revenue comes from advisory work, and clients generally pay only when a transaction succeeds. Earnings therefore depend on winning new assignments and getting deals completed, including clients securing financing and approvals. Senior bankers’ expertise and client relationships help bring in that work; assignments are usually negotiated individually rather than covered by long-term contracts.
Evercore ISI serves institutional investors with equity and economic research and securities trading, earning subscriptions and trading commissions. A much smaller wealth-management business serves individuals, families and institutions: Evercore Wealth Management charges fees mainly based on assets managed, while Evercore Trust Company charges negotiated fees for trust services.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Moelis competes with Evercore for fees from companies and financial sponsors seeking advice on mergers, restructuring and private capital. Its advisory revenue offers a close comparison for the transaction activity that drives Evercore’s fees.
PJT Partners competes with Evercore for fees from companies and financial sponsors needing strategic advice, help managing debt or restructuring, and private capital fundraising. Watch PJT Park Hill’s work raising money for private funds for a view of the fundraising demand both firms serve.
Perella Weinberg Partners competes with Evercore for clients paying for independent strategic advice, merger execution, restructuring and private capital services. Its work helping clients place private capital is one concrete area to watch for demand that also matters to Evercore.
Lazard competes with Evercore for paid financial-advisory assignments, but asset management gives Lazard a more diversified revenue base. Watch its Financial Advisory revenue rather than total revenue: each assignment is won separately, with no long-term contracted revenue source.
Houlihan Lokey competes with Evercore for fees from advising on mergers and restructuring, but focuses more on mid-cap transactions. Most of its Corporate Finance assignments involve deals valued below $1 billion, so that business shows demand in a narrower deal-size range.
Jefferies and Evercore both earn revenue from advising companies, helping them issue securities and serving institutional equity clients. Jefferies’ investment-banking and equities results are the relevant comparison, rather than its asset-management and own-investment activities.
Piper Sandler competes with Evercore for companies’ merger, financing and private capital fees, and for institutions’ research and trading business. Its emphasis on middle-market corporate clients makes their deal and financing activity the clearest comparison for Evercore’s advisory demand.
Goldman Sachs competes with Evercore for fees from advising companies, helping them issue shares and debt, and serving institutional equity clients. Watch Goldman’s advisory and underwriting fees within Global Banking & Markets for a comparison with Evercore’s transaction-driven revenue.
Morgan Stanley competes with Evercore to advise corporate clients and provide securities services to institutions, but its substantial wealth-management business makes it less dependent on advisory work. Its Institutional Securities results are a closer comparison for Evercore than the group’s overall earnings.
Stifel competes with Evercore for investment-banking clients and institutions paying for research, sales and trading, while wealth management broadens Stifel’s earnings base. Watch its Institutional Group, which houses those overlapping services, rather than treating all of Stifel’s revenue as a read on Evercore.
Lazard, Inc. earningsLAZ
Lazard's report shows what its Financial Advisory business earns from completed assignments, giving Evercore a read on the advisory market it competes in.
Watch Lazard's Financial Advisory revenue, not total revenue, which also reflects asset management. Higher revenue means Lazard's own assignments, deal mix, or closings brought in more fees and points to a more supportive advisory market for Evercore; lower revenue makes that market look weaker. Lazard's clients and assignments differ, so this is context, not proof of Evercore's results. The takeaway is whether the market both firms compete in looks more or less supportive.
Evercore Inc. earningsThis company
Evercore earns most of its revenue from fees on completed advisory assignments, and this report shows whether those fees can still outpace the people costs of doing the work.
Read advisory fees alongside compensation and benefits as a share of net revenue. Fees are recognized as assignments are completed: rising fees with a falling compensation share mean completed work is growing faster than people costs; falling fees or a rising share mean deal closings or fee size are covering those costs less well. This shows whether Evercore's core advisory business is converting revenue into profit more effectively.
PJT Partners Inc. earningsPJT
PJT Partners' report shows how its Park Hill business is raising money for private funds, giving Evercore a read on a fundraising market both firms serve.
Watch PJT Partners' disclosure on Park Hill's private-fund fundraising. Stronger fundraising means fund sponsors are attracting more investor commitments, creating a more supportive opportunity set for Evercore's private capital advisory and fundraising work; weaker fundraising points to fewer such fee opportunities, but does not establish Evercore's own results. The takeaway is whether the private-fund fundraising market both firms serve is expanding or contracting.
