Company

Company overview

Companies hire PJT Partners Inc. to help them buy or sell businesses, raise capital and address debt problems; investors and creditors also hire it for advice on these transactions. Strategic Advisory handles mergers and acquisitions and other corporate decisions, while Restructuring and Special Situations helps clients renegotiate debt and navigate financial distress. Advisory fees provide most revenue, with clients paying retainers, completion fees or capital-raising fees depending on the engagement.

PJT Park Hill helps private-fund managers raise money from investors and helps fund managers and investors obtain liquidity from private investments. Clients pay it for fundraising and related advice, making this business dependent on investors’ willingness and ability to commit capital. Some public pension investors prohibit placement agents, and placement-agent rules can restrict its work or fees.

PJT depends on its bankers’ client relationships and on winning new assignments, rather than mostly on long-term contracts. Many fees depend on transactions closing, so a few engagements and their timing can materially affect revenue. Weak markets can reduce dealmaking and fundraising, while stronger conditions can reduce demand for restructuring advice.

  • Moelis competes with PJT Partners for fees from companies and financial sponsors seeking advice on deals, debt restructuring, financing and private capital. Its advisory business offers a close comparison across these services, rather than lending or securities trading.

  • Houlihan Lokey competes with PJT Partners for clients paying for help with M&A, raising capital and restructuring corporate debt. Watch its Corporate Finance and Financial Restructuring businesses separately: they cover the deal and debt-restructuring work that overlaps with PJT.

  • Evercore competes with PJT Partners for fees from corporations and financial sponsors seeking independent advice on transactions. Its client fees from advisory and securities-issuance work are worth watching alongside PJT's engagement activity, since PJT's revenue depends on the number, size and complexity of assignments.

  • Perella Weinberg Partners and PJT Partners seek fees from overlapping corporate, financial-sponsor and creditor clients for M&A, restructuring and private-capital advice. Its work helping private funds raise money is the area to compare with PJT Park Hill's fundraising business.

  • Lazard competes with PJT Partners for corporate financial-advisory fees, but its asset-management business makes total revenue a less direct comparison. Focus on Financial Advisory, where Lazard must negotiate and win each revenue-generating assignment rather than rely on long-term revenue contracts.

  • Lincoln International competes with PJT Partners for fees from financial sponsors on M&A, restructuring, private-fundraising and fund-manager-led sales of existing investments, known as GP-led secondaries. Its Private Funds Advisory business is the closest area to watch against PJT Park Hill's fundraising and portfolio-liquidity work.

  • Piper Sandler competes with PJT Partners for corporate and financial-sponsor fees on M&A, restructuring, privately raising capital and private-capital advice. Its focus on middle-market clients makes that customer group's deal and financing work the relevant comparison, rather than its government and nonprofit business.

  • Jefferies competes with PJT Partners for fees from companies seeking financial advice and help raising capital, but it also runs substantial trading businesses. Its advisory and securities-issuance work is the relevant comparison for PJT, not the combined results of trading and asset management.

  • Goldman Sachs competes with PJT Partners for corporate fees from transaction advice and capital raising, while its investment-banking results also offer a broader view of the deal market.
