Vipshop buys merchandise from brand owners and other brand partners, then sells it to shoppers seeking branded products at lower prices. Its vip.com online channels generate nearly all revenue, and direct product sales are the main source rather than fees charged to sellers. Short-lived sales events offer selected products in limited quantities. Discounted apparel remains a major revenue source despite expansion into other categories.
The business depends on securing desirable merchandise at attractive purchase prices and matching purchases to customer demand. Brand partners’ payment terms and return policies matter: Vipshop can generally return unsold goods, but some categories and cross-border products cannot be returned. Its offline stores provide another way to sell excess inventory. Supply comes from many brands, with no single brand contributing a large share of revenue. Vipshop uses its own warehouses and relies mainly on third-party companies for delivery.
China restricts foreign investment in certain internet services, so Vipshop operates its online retail channels through contracts with locally owned companies rather than direct ownership. Keeping the required licenses and enforceable contractual arrangements is necessary to continue those operations.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Vipshop’s results hinge on Chinese demand for discounted branded goods and competition for shoppers from platforms such as Douyin, another major sales channel identified in Yatsen’s report.
JD.com competes with Vipshop for Chinese consumers’ online spending: both buy goods from suppliers and resell them to shoppers, while Vipshop focuses on discounted brands. JD.com’s retail sales of general merchandise are worth watching for demand beyond its electronics and home appliances.
Alibaba’s Taobao and Tmall compete with Vipshop for Chinese shoppers buying branded apparel, beauty products and other goods. Unlike Vipshop’s direct merchandise sales, Alibaba earns fees from merchants buying marketing and software services; their marketing spending is worth watching as a sign of competition for those shoppers.
PDD Holdings’ Pinduoduo competes with Vipshop for price-conscious Chinese online shoppers. Its substantial international exposure through Temu means PDD’s overall results are not a clean read on the Chinese shoppers the two compete for.
Baozun and Vipshop both depend on Chinese demand for branded goods and face competition from online promotions. Baozun runs online stores and resells products for brand partners, while Vipshop sells discounted branded goods directly to shoppers.

JD’s report will show whether Chinese shoppers are still spending on general merchandise, a part of online retail that overlaps with Vipshop’s customer spending.
Compare JD’s general-merchandise retail sales with its electronics and home-appliance sales. Steady general merchandise suggests shoppers are still spending beyond those categories, supporting demand for Vipshop’s branded flash sales. If it weakens while electronics and appliances hold up, the discretionary online spending Vipshop also seeks may still be under pressure.

Vipshop sells discounted branded goods through limited-time online sales, and this report will show whether core sales can hold up without giving up gross margin.
Read total orders and product revenue alongside gross margin. If orders and product revenue stabilize while margin holds, shoppers are still buying Vipshop’s selected discounted brands without inventory economics requiring a sacrifice in profitability. If orders and product revenue keep weakening, or margin falls, demand, product selection or inventory turnover remains under pressure.
