Upexi’s principal business is a cryptocurrency treasury focused on Solana (SOL), following a shift away from consumer products. Staking is now its larger revenue line. It delegates SOL held with custodians to validators that help run the Solana network, while the tokens remain in custody. In return, it receives SOL rewards funded by newly issued tokens and network transaction fees, which it can sell for cash. These rewards depend on validator performance and network conditions; the value of its holdings also depends on SOL’s market price.
Upexi still owns consumer-product brands, including LuckyTail, which sells pet products such as a nail grinder. It earns money from wholesale sales and sales directly to consumers, with a third party handling distribution and order fulfillment.
Upexi uses share issuance and borrowing to fund its SOL strategy, including loans from BitGo Prime secured by treasury assets. The strategy depends on the Solana network and its core developers. Its legal position also rests on its view that SOL is not a security. Regulators have not endorsed that view; a contrary determination could require investment-company registration and restrict its investments, borrowing and operations.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
DeFi Development Corp. and Upexi both buy SOL and put it to work securing the Solana network to earn staking rewards, leaving both exposed to SOL prices and staking yields. DeFi Development’s rewards from running validators and delegating tokens to other validators offer a comparison for Upexi’s staking income.
Solana Company shares Upexi’s exposure to SOL prices: both focus their treasuries on buying SOL and earning rewards for committing it to support the network, known as native staking. Watch Solana Company’s progress toward increasing SOL per share as a comparison for how Upexi builds its token holdings.
Forward Industries, Inc. shares Upexi’s exposure to SOL prices and staking yields through holding SOL and earning rewards for committing it to support the network. Its design business sits alongside that treasury strategy, so the SOL holdings and staking returns—not design results—are the relevant comparison for Upexi.
Sol Strategies Inc. and Upexi both depend on SOL prices and network staking rewards, but Sol Strategies runs the network’s validating infrastructure while Upexi delegates its tokens to validators. Sol Strategies’ staking services for institutional and retail customers provide a view of the reward economics behind Upexi’s staking income, though its operator role differs.
Upexi relies on BitGo Holdings, Inc. to safeguard its treasury assets and lend against them to buy SOL, supporting the holdings that earn staking revenue; BitGo earns custody fees and lending interest and fees. Watch the availability and terms of that credit: Upexi had no unused capacity on June 30, 2026, and the facility carried 11.50% annual interest.
Upexi, Inc. earningsThis company
Upexi’s report will show whether SOL-related revenue is making up for the retreat in consumer products, and what it costs to run that treasury strategy.
Read digital-asset revenue, consumer-product revenue and operating costs together. Rising digital-asset revenue, steadier product revenue and controlled costs would show the SOL business taking up more of the revenue load without costs running away. If digital-asset revenue weakens, product revenue keeps falling or costs rise, the shift is not yet supporting the business.
BitGo Holdings, Inc. earningsBTGO
BitGo Holdings’ report will show how its custody and lending businesses are faring—the services Upexi relies on to safeguard SOL and borrow against it.
Look at BitGo’s lending activity and credit quality. Steady lending and sound credit would suggest institutional financing of the kind Upexi uses remains supported; shrinking lending or weaker credit would point to tighter conditions. BitGo’s overall results cannot confirm how much credit Upexi can access or on what terms.
DeFi Development Corp. earningsDFDV
DeFi Development’s report will show staking rewards at another company that holds and stakes SOL, offering a comparison for Upexi’s staking income.
Read DeFi Development’s staking rewards alongside the amount of SOL it puts to work. More rewards per SOL would suggest better reward economics for a similar strategy; less would flag potential pressure on Upexi’s staking income. Holdings, validator performance and reporting periods differ, so the figures are not directly interchangeable.
Solana Company earningsHSDT
Solana Company’s report will show how its SOL holdings per share are changing, a comparison for Upexi’s effort to build its SOL treasury.
See whether Solana Company’s SOL holdings are rising or falling relative to its share count. More SOL per share means holdings are growing faster than the share count; flat or declining SOL per share means they are not increasing on that basis. It offers a comparison for treasury-building, not a substitute for Upexi’s own holdings and share count.
