Rezolve AI PLC helps merchants connect online product searches and shopping conversations with purchases and order fulfillment. Brain Commerce uses its proprietary brainpowa language model to help shoppers find products and receive recommendations. Brain Checkout handles checkout, payments and pickup. Most revenue comes from Brain Commerce software subscriptions and professional services. For those services, customers pay the cost of work such as designing and implementing IT solutions, plus a markup.
The company recruits merchants through distribution partners and relies on partners to serve merchants and pass subscription payments to Rezolve. Named partners include Microsoft, Google, ACI and Grupo Carso; those partnerships had not yet generated revenue when disclosed. Growth depends on adding merchants, keeping them subscribed and increasing platform use and transaction volumes, rather than simply signing partnership agreements.
Its payment services must follow payment-processing laws and card-network rules. Networks or processors can withdraw its ability to accept card payments if it fails to comply.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Rezolve’s results hinge on merchants adopting its AI commerce tools despite competition from Shopify, BigCommerce and privately held Zoovu.
Shopify competes with Rezolve for merchants’ software spending, with overlapping shopping and checkout tools that Shopify could bundle at no extra cost. Watch what Shopify includes in its commerce subscriptions: free competing features could pressure what merchants will pay for Rezolve’s AI tools.
Rezolve depends on Google’s paid cloud infrastructure and licensed tools that help merchants’ shoppers find products—Vertex AI Search for Commerce—while Google also offers competing AI product-discovery services. Changes to that service’s price, availability or licensing terms could make Rezolve’s merchant software less appealing.
Rezolve relies on Microsoft’s Azure cloud infrastructure and AI services to deliver its commerce software to merchants, even as Microsoft sells competing enterprise AI and commerce capabilities. Watch Microsoft’s own competing offerings: the partnership is non-exclusive and does not stop it from prioritizing its products over Rezolve’s.
Amazon is a cloud supplier Rezolve must pay: through its Crownpeak acquisition, Rezolve assumed a commitment to spend $43 million over five years on eligible Amazon Web Services offerings. That commitment matters alongside the subscription and usage revenue Rezolve earns from customers of its hosted search and pickup software.

Microsoft’s report shows how Rezolve’s reliance on its cloud and AI services to deliver merchant software sits alongside Microsoft’s competing offers to enterprise customers.
Look at demand for Microsoft’s cloud and AI services alongside how prominently it is pushing its own enterprise tools. Strong demand and a bigger push for competing tools would show that a supplier Rezolve relies on is also pursuing similar software budgets; weaker demand or a report focused more on infrastructure would offer less evidence of that competitive pressure. Microsoft’s results will not reveal Rezolve’s specific costs or contract terms.
Fed Interest Rate Decision
Rezolve’s Fed rate decision matters because it can influence SOFR, the benchmark rate used to set interest on its $103.6 million of term loans, changing what the company pays to borrow.

If it comes in above expectations
If the Fed sets rates higher than expected, higher borrowing costs can raise interest payments on Rezolve’s SOFR-linked loans, leaving less cash for its operations.

Shopify Inc. earningsSHOP
Shopify’s report shows whether its shopping and checkout tools are strengthening its competition with Rezolve for merchants’ software spending.
Read Shopify’s subscription demand alongside the shopping and checkout tools included in its plans. Strong demand with more features bundled at no extra cost would show merchants are still buying Shopify while Rezolve may find it harder to charge separately for AI discovery and checkout; weaker demand or no expansion in bundled tools would offer less evidence of that pricing pressure.
