Eightco Holdings Inc. now focuses on investing its capital in digital assets, especially Worldcoin’s WLD token, and private companies, including OpenAI and Beast Industries. It has used proceeds from share sales primarily to buy digital assets. Returns on those holdings depend mainly on price appreciation rather than regular interest payments; the company does not expect its digital-asset activities to generate revenue.
Its operating revenue comes from Forever 8, which buys consumer products from suppliers and resells them to e-commerce retailers. By funding and managing inventory, Forever 8 lets retailers keep products in stock without committing their own capital upfront. One customer supplies most of the company’s revenue. Eightco has decided to wind down Forever 8 and stop further investment in it.
The investment strategy depends heavily on WLD’s value and the ability to raise equity and debt financing. OpenAI also accounts for a substantial part of its investment holdings, and its private-company investments lack public trading markets. If regulators classify its digital assets as securities, Eightco could face registration requirements or be forced to reduce holdings or change its operations.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Worldcoin’s token value and ecosystem risks drive Eightco’s results more than these peers reveal, while its revenue-producing Forever 8 business is being wound down.
Sharplink and Eightco share exposure to Ethereum prices, but Sharplink makes ETH its primary treasury asset while Eightco’s much larger strategic focus is Worldcoin. Sharplink commits ETH to help validate network transactions and earns staking rewards; its ETH valuation offers a comparison for Eightco’s Ethereum holdings, not its main Worldcoin exposure.
Bit Digital’s Ethereum treasury and staking strategy exposes it to some of the same token-price movements as Eightco’s digital-asset holdings. That overlap is limited: Eightco’s focus is Worldcoin, so Bit Digital is a comparison for its Ethereum exposure rather than its main treasury risk.
Eightco depends on Coinbase to safeguard and trade digital assets, while Coinbase earns fees from customers’ crypto trades and Eightco’s treasury value moves with digital-asset markets. Watch Coinbase’s custody operations: failures or lost private keys could cost Eightco assets, beyond any fall in token prices.
Payoneer competes with Eightco’s Forever 8, which funds inventory for e-commerce sellers, but Eightco is winding that business down. Payoneer earns revenue by helping small and medium-sized businesses collect cross-border payments, exchange currencies and pay suppliers; its services for cross-border sellers are the relevant competitive overlap.

Coinbase Global’s report will show how its crypto custody and trading business is operating, a service Eightco relies on to safeguard and trade digital assets.
Look for Coinbase disclosures of custody or trading interruptions, asset losses, or other operating problems. No such problems would suggest the custody and trading channel Eightco uses is working reliably; reported problems would point to a risk that Eightco’s assets could be impaired or inaccessible even if token prices do not move.
