Orion Energy Systems helps businesses and institutions replace lighting in facilities such as warehouses, factories, stores and offices. It supplies LED fixtures and can handle design, engineering, project management and installation. Lighting provides most of its revenue. Customers buy complete projects or equipment, mainly directly from Orion, but also through distributors, contractors and energy service companies. Virtually all sales are in North America.
Orion also earns from repairing and replacing facility lighting and electrical components. Its electric-vehicle charging business sells and installs charging stations sourced from other suppliers and provides ongoing support and software subscriptions.
The business depends largely on winning individual projects rather than recurring revenue. Multi-year maintenance contracts are an exception; customer purchase orders generally do not guarantee purchases and may be cancelled before shipment. One customer supplies a substantial share of revenue, making its orders particularly important. Orion’s credit agreement also restricts additional borrowing, acquisitions, investments and dividends.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Orion’s results hinge on large customers’ lighting-retrofit spending and concentrated project orders; Signify and Current Lighting Solutions are also important competitors outside this list.
Acuity Inc. competes for commercial customers’ lighting spending with fixtures and controls that rival Orion’s lighting systems and retrofit services integrating controls. Watch its Acuity Brands Lighting business, where fixtures paired with electronics and controls compete with Orion’s offering.
LSI Industries Inc competes with Orion for non-residential customers’ lighting and service orders, including projects across regional and national locations. Its lighting-segment sales are the relevant line to watch for Orion, rather than total sales, which also include retail displays.
Energy Focus, Inc. competes with Orion for commercial customers buying energy-efficient LED retrofit products, but also sells specialized lighting for military ships. Its commercial LED retrofit kits and emergency-backup LED tubes are more relevant to Orion’s competition than its U.S. Navy and allied-force lighting sales.
Fed Interest Rate Decision
For Orion, the Fed’s decision on its benchmark interest rate matters because its floating-rate credit-facility and term debt can cost more or less to service as rates change.

If it comes in above expectations
If the Fed sets a higher rate than expected, Orion may pay more interest on its floating-rate debt, leaving less cash for operations and other needs.
If it comes in below expectations
If the Fed sets a lower rate than expected, interest costs on Orion’s floating-rate debt may ease, leaving more cash available for operations and other needs.
Orion Energy Systems, Inc. earningsThis company
Orion's project-based lighting sales can swing with orders and product mix, so this report shows whether its lighting work is bringing in profitable revenue, not just sales.
Read lighting revenue alongside gross margin, then check cash from operations. Steady revenue with margins holding and cash use contained would show that project work is converting into profit and supporting operations. Rising sales with thinner margins, or weak sales alongside cash outflow, would point to product mix, pricing or project timing still weighing on the business. Together, these figures show whether lighting projects are easing Orion's cash pressure or adding to it.
LSI Industries Inc earningsLYTS
LSI Industries' lighting-segment sales will show how much business this direct rival is doing in the non-residential projects Orion also pursues.
Compare LSI Industries' lighting-segment sales with its total sales: the total also includes retail displays, which do not compete with Orion's lighting work. Rising lighting sales mean LSI is doing more business in the shared project arena, whether because spending is stronger or because it won more orders. If total sales rise while lighting sales fall, the growth is coming from elsewhere and LSI's lighting business is weakening. The report gauges a rival's momentum, but cannot show whether Orion won or lost specific orders.
