Neuphoria Therapeutics Inc. is a clinical-stage biotechnology company with no approved medicines or drug sales. After cutting back its operations and suspending internal research and development, it now focuses on preserving cash, maintaining intellectual property and partner-payment rights, and completing its proposed merger with Scancell.
Its partners develop the medicines, while Neuphoria retains rights to payments if their programs advance. Merck funds and controls development of licensed candidates for cognitive problems associated with Alzheimer’s disease and other central nervous system conditions. It pays Neuphoria when specified development or commercial milestones are reached and would pay royalties on sales. Merck ended MK-1167’s Alzheimer’s trial for lack of efficacy; another candidate, MK-4334, completed early-stage studies. Neuphoria has limited access to Merck’s program information.
The company also receives passive distributions through CTx CRC, including from the KAT6 cancer program controlled by Pfizer. Separately, Carina Biotech licenses its BNC101 intellectual property to develop CNA3103, a cell therapy for metastatic colorectal cancer. Carina may owe milestone payments, sales royalties and a share of sublicensing proceeds. These income sources depend on partner-led progress, and further payments are not assured; drug sales require regulatory approval.
Neuphoria still owns BNC210 for post-traumatic stress disorder, but it has no active trial. Restarting development would require financing and a decision to resume work or find a partner. Scancell has said it does not intend to develop Neuphoria’s unpartnered assets after the proposed merger.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Neuphoria’s outlook also hinges on the proposed Scancell merger and its contingent-value-right terms, alongside Carina Biotech’s development of the licensed CNA3103 program.
Neuphoria’s potential milestone payments and sales royalties depend on Merck, which licenses its alpha7 PAM drug candidates for cognitive disorders and funds and controls their development and worldwide commercialization. Merck’s MK-1167 Phase 2 Alzheimer’s dementia trial ended for lack of efficacy; watch for further progress on MK-4334, which completed Phase 1 safety and biomarker studies.
Pfizer’s development of the licensed KAT6 cancer program could bring Neuphoria distributions through its passive interest in CTx CRC—not direct payments for selling Pfizer goods or services. Watch Pfizer’s Phase 3 program in ER-positive/HER2-negative metastatic breast cancer: Neuphoria received A$1.416 million in May 2026, but cannot determine whether or when further distributions will arrive.
Merck & Co., Inc. earningsMRK
Merck funds and controls development of Neuphoria’s licensed cognitive-disorder drug candidates, so its report may show whether those programs are progressing toward potential milestone and royalty income for Neuphoria.
Watch for what Merck says about next steps for MK-4334; the available information says only that it completed Phase 1 safety and biomarker studies. Continued development would preserve a path to potential milestone payments and future sales royalties for Neuphoria; a pause or setback would weaken that path. Progress alone does not mean Neuphoria has earned a payment, which depends on the agreement’s conditions.
