Jet.AI Inc. helps customers book private flights through CharterGPT, which finds aircraft and prices and coordinates bookings with charter operators. Software-app and Cirrus-arranged charter activity together generate its largest revenue stream; aircraft management and other services also contribute substantially. Customers also pay through jet-card and fractional-ownership programs, buying access to flights or a share of an aircraft. Jet.AI pays aircraft operators to carry passengers and relies on Cirrus to manage and maintain its aircraft and arrange direct charters.
The company plans to transfer its fractional-ownership and jet-card business and related aviation assets to flyExclusive, retaining its software and intellectual property. The proposed transactions still depend on shareholder approval and other closing conditions; the shift away from aviation is not a completed change.
For its move into AI data centers, Jet.AI contributes capital to a joint venture with Consensus Core in exchange for minority equity interests in Convergence Compute and Canadian data-center projects. Further project interests depend on funding and development milestones. Consensus Core, rather than Jet.AI, controls most project decisions. Development depends on additional capital, sufficient electricity and permits to build and operate facilities.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Jet.AI’s transition depends on closing its aviation sale to flyExclusive and funding and developing its AI data-center venture with Consensus Core as project milestones are met.
flyExclusive competes for Jet.AI’s private-charter and fractional-ownership customers, but its proposed all-stock purchase of Jet.AI’s aviation business also makes it central to the transition into AI data centers. Watch closing approvals: completion would end Jet.AI’s legacy jet-card and fractional-program revenue.
Volato Group competes with Jet.AI for private-flight bookings and software sales to charter operators regulated under FAA Part 135, including ways to earn money from otherwise empty flights. Watch subscriptions to Volato’s Vaunt, its main revenue-generating business, for a read on customers’ willingness to pay for empty-leg access alongside Jet.AI’s Reroute AI offering.
Digital Realty competes for the enterprises and service providers that Jet.AI’s planned AI campuses would seek to serve, supplying data-center space, power and cooling at multi-megawatt scale. Its contracts for deployments above 1 MW generally last 5–10 years or longer, making large customer commitments worth watching as Jet.AI develops its campuses.
Equinix sells data-center space and power to the infrastructure customers Jet.AI intends to serve through its AI venture. Watch Equinix’s monthly recurring revenue from these fixed-term contracts as a reference for the customer revenue Jet.AI is seeking to build.
Wheels Up Experience competes for private flyers who might otherwise use Jet.AI’s charter booking and jet-card services, selling membership access and on-demand flights. Its flight revenue, which makes up most of its revenue, is the line to watch for spending by those customers.
NVIDIA supplies the computing chips, or GPUs, relevant to Jet.AI’s planned AI data centers, so their availability affects Jet.AI’s equipment costs and deployment prospects as AI computing investment expands. Watch NVIDIA GPU supply: Jet.AI says demand far exceeds supply, making prices and availability uncertain.
Jet.AI has contracted to buy three Citation CJ4 aircraft from Textron for approximately $40.5 million, tying it directly to the aircraft maker as a customer. Watch deliveries, expected in the third and fourth quarters of 2026; Jet.AI has already paid the required deposits.

Digital Realty’s report will show whether enterprises and service providers keep committing to large data-center deployments—the customer demand Jet.AI hopes to attract.
Watch whether large deployments and long-term contract commitments strengthen. More commitments would show enterprises and service providers are willing to secure data-center capacity, giving Jet.AI’s planned campuses a clearer path to customers. Fewer or weaker commitments would leave demand uncertain as Jet.AI takes on development costs and execution risk.
flyExclusive, Inc. earningsFLYX
flyExclusive’s report is a checkpoint on its proposed purchase of Jet.AI’s aviation business; if the deal closes, Jet.AI’s jet-card and fractional-program revenue will leave with that business.
Look for evidence that required approvals are in place and the deal is moving toward closing. If it progresses and closes, Jet.AI will no longer earn revenue from the aviation business being sold and its focus can shift to data centers. If approvals or closing stall, the aviation business remains and the revenue mix has not yet made that transition.

Jet.AI’s report will show how much revenue comes from aviation versus data-center projects, and whether its cash use fits the pace of its planned transition.
Read revenue by business alongside operating cash flow. Data-center revenue beginning to emerge while cash use stays contained would show the new business taking shape. Revenue still mainly from aviation, with operating cash continuing to flow out, would mean the transition has not yet produced visible revenue support and Jet.AI still needs to fund operations and projects.

NVIDIA’s report will help show whether GPU supply is loosening; chip availability and pricing affect the equipment costs and deployment pace of Jet.AI’s planned data centers.
Watch whether GPU supply improves and shortages ease. Better availability would reduce an obstacle to Jet.AI securing data-center hardware; if demand still far exceeds supply, uncertain equipment prices and delivery timing will continue to weigh on deployment.
