Hotel101 Global Holdings Corp. sells individually titled hotel rooms before construction is complete. Buyers own standardized Hotel101 “happy room” units rather than an entire rental property. These unit sales account for most of the company’s revenue; its hotels serve value-conscious travelers in the mid-range market.
After a hotel opens, Hotel101 manages enrolled rooms and earns recurring income from guest stays. It retains most room revenue after applicable taxes and statutory charges and pays the hotel’s operating costs. Owners share the remaining revenue equally across enrolled rooms, regardless of whether their particular room was occupied. They cannot rent their rooms independently under the management agreements. Hotel income therefore depends on occupancy and room rates, while development income depends on buyers accepting the same standardized room concept.
Hotel101-Madrid is operating, while other international projects remain under construction, in planning or subject to development conditions and approvals. Presales help finance development, but the company relies primarily on advances from its controlling shareholder, DoubleDragon. Unit sales can fall under securities laws in some jurisdictions; in the United States, Hotel101 intends to use a registration exemption that limits sales to verified accredited investors.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Hotel101’s results currently hinge more on hotel-unit sales and construction progress than lodging fees, making majority shareholder DoubleDragon, whose advances primarily fund development, the company to watch.
Airbnb connects paying guests with hosts’ short-term private-property stays, adding competition that could lower Hotel101’s room rates and revenue. Watch its accommodation offering against Hotel101’s promise of consistent, standardized mid-market rooms.
Wyndham’s economy and midscale hotels compete with Hotel101 for travelers paying for affordable branded stays. Wyndham lets hotel operators use its brands in return for fees; its economy and midscale offering is the relevant competition, rather than its whole portfolio.
Choice Hotels’ economy and midscale brands compete with Hotel101 for guests seeking value-priced hotel stays.
IHG’s Holiday Inn and Holiday Inn Express hotels compete with Hotel101 for business and leisure travelers paying for mid-market accommodation.
Hilton’s hotels focused on core accommodation services compete with Hotel101’s standardized mid-market rooms for value-conscious guests. Hilton earns management and brand-use fees from hotel owners; watch its offering to these guests, not just its luxury hotels.
Marriott’s hotels offering selected services and its mid-market brands compete with Hotel101 for paying business and leisure guests across Hotel101’s expansion markets.

Wyndham’s economy and midscale hotels compete with Hotel101 for value-conscious travelers, and its report will show whether guests are still choosing these branded stays.
Focus on Wyndham’s economy and midscale lodging results, not the whole company. Resilient demand there would show that travelers continue to pay for branded stays, keeping pressure on Hotel101 to attract the same guests; weaker demand could ease that competition, but would not prove Hotel101 occupancy or room rates are improving.
Fed Interest Rate Decision
For Hotel101, the Fed’s policy rate—the rate guiding borrowing costs across the economy—can affect buyers’ mortgage access and ability to pay installments for its hotel units, changing presales and the cash HBNB receives.

If it comes in above expectations
Higher borrowing costs may make mortgages and unit installments harder for buyers to afford, weakening Hotel101 presales and HBNB’s incoming cash.
If it comes in below expectations
Lower borrowing costs may ease buyers’ mortgage and installment burdens, supporting Hotel101 presales and HBNB’s incoming cash.
