GeoVax Labs is developing products to prevent infectious diseases and treat cancer. These include COH04S1, a COVID-19 vaccine in Phase 2 clinical trials licensed from City of Hope, and Gedeptin, a treatment being developed for solid tumors under an exclusive worldwide license from PNP. None of its products has been approved for sale, and it has not earned product revenue.
Government agencies and collaborators have paid GeoVax to support product development. One such arrangement was a BARDA-funded contract administered by Advanced Technology International, which reimbursed eligible development costs. BARDA terminated that contract, and ATI directed GeoVax to stop work in April 2025.
GeoVax has funded operations mainly through share sales, government grants and clinical-trial assistance, and needs additional capital to continue development. Product sales depend on demonstrating safety and effectiveness in trials and obtaining regulatory approval, including FDA approval for U.S. sales. It must also maintain its technology licenses by meeting contractual obligations, including milestone payments and royalties on any commercial sales.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
GeoVax's prospects hinge on clinical progress and development funding, especially after BARDA terminated its COVID-19 vaccine support contract in April 2025.
Moderna already sells COVID-19 vaccines and is developing next-generation mpox vaccines for the same prevention markets GeoVax is pursuing with investigational vaccines. Watch sales of Spikevax and mNEXSPIKE: COVID-19 vaccines supplied most of Moderna's 2025 revenue and offer a read on the market GeoVax hopes to enter.
BioNTech sells COVID-19 vaccines and develops next-generation mpox vaccines, competing in both markets targeted by GeoVax's investigational vaccines. Its Comirnaty vaccine updates, including the LP.8.1 version launched for the 2025/2026 vaccination season, show the established alternatives GeoVax must compete against.
Pfizer sells Comirnaty with BioNTech, giving vaccine buyers an established alternative to GeoVax's investigational GEO-CM04S1. Pfizer's rights to market and distribute it worldwide except Greater China, Germany and Türkiye show the geographic reach of that competitor.
Tonix Pharmaceuticals Holding Corp.'s investigational smallpox and mpox vaccines compete with GeoVax's vaccines based on modified vaccinia Ankara (MVA). That vaccine work—not Tonix's commercial business centered on central nervous system medicines—is the overlap to watch for GeoVax.

Moderna’s COVID-19 vaccine sales offer GeoVax a read on demand in the established market it hopes to enter.
Look at Moderna’s reported sales of Spikevax and mNEXSPIKE. Steady or rising sales would show continued demand for established COVID-19 vaccines, but would not prove buyers will choose GeoVax’s unapproved candidate; falling sales would suggest a weaker commercial market and less room for a new entrant. The conclusion is about market demand, not whether GeoVax’s candidate will be approved or compete successfully.

Tonix Pharmaceuticals’ smallpox and mpox vaccines also use modified vaccinia Ankara, so its development updates show GeoVax’s competition in that vaccine approach.
Look for disclosed trial progress or development plans for Tonix’s smallpox and mpox vaccines; its commercial business centered on central nervous system medicines is not the relevant comparison. Continued vaccine development would show an active rival using the same approach as GeoVax; delays or no reported progress would mean less evidence of near-term pipeline pressure, not proof that the programs have ended. The conclusion is whether this vaccine competitor is advancing, not how Tonix’s overall business is doing.

GeoVax has no product sales, so this report will show whether its cash and financing can keep vaccine development going.
Read the cash balance alongside cash used in operations and any financing. Slower cash use, or financing that fills the gap, would give GeoVax more room to continue development; declining cash without enough financing would raise the chance it must issue shares or scale back research. With no product sales, the key conclusion is whether outside funding can sustain the work, not whether products are supporting it.
