CNB Financial Corporation owns CNB Bank, which serves households, businesses, governments and institutions across Pennsylvania, Ohio, New York and Virginia. The bank takes customer deposits and uses that funding, supplemented by borrowings, to make loans and hold investment securities. Borrowers’ interest payments supply most of its interest income, and the interest left after funding costs is its main revenue source. Private Client Solutions also provides private banking and wealth and asset management, with management fees contributing a smaller revenue stream.
The business depends on retaining deposits at a cost below what its loans and securities earn, and on borrowers repaying their loans. Lending is concentrated in its regional markets, with a substantial portion secured by local real estate, tying repayment and collateral values to those economies and property markets.
The acquired ESSA branches now operate as ESSA Bank, a division of CNB Bank. CNB Bank also assumed ESSA’s consent-order obligations. At the parent-company level, cash comes primarily from bank dividends, which are constrained by banking law, regulatory capital requirements and regulators’ authority to restrict payments.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
S&T Bancorp Inc competes with CNB for individuals’ and small and medium-sized businesses’ deposits and loans in Pennsylvania and Ohio; both use customer deposits to fund lending. S&T’s pricing of customized banking services is worth watching for competitive pressure on CNB in those markets.
Citizens Financial Services, Inc., through First Citizens Community Bank, competes with CNB for deposits, business loans and household banking in central and north-central Pennsylvania. Its business lending in those shared markets is the part to watch when assessing competition for CNB’s local customers.
Citizens & Northern Corporation competes with CNB for northern Pennsylvania customers who need community banking and wealth management, putting both banks in contention for the same banking and investment-management relationships.
QNB Corp. competes with CNB’s acquired ESSA division for Lehigh Valley deposits and commercial and residential loans, making it a rival in CNB’s expanded market. QNB takes in customer deposits to fund loans; its small-business lending and local loan decisions are worth watching against ESSA’s offering.
Univest Financial Corporation competes with CNB’s ESSA division for households’, businesses’ and municipalities’ banking relationships in eastern Pennsylvania, making it a rival for customers in CNB’s expanded footprint.
ACNB Corp competes with CNB for Pennsylvania households’ and businesses’ deposits, loans and wealth-management accounts, so the rivalry spans both everyday banking and managing customers’ investments.
Chemung Financial Corp, through Chemung Canal Trust, competes with CNB for southern New York businesses’ and households’ banking and wealth-management relationships.
Citizens Financial Group, Inc. competes with CNB for retail customers’ deposits and commercial loans in Pennsylvania and Ohio, making it a rival both for the money CNB uses to lend and for business borrowers.
Camden National Corporation offers a comparison for CNB: both run similarly sized northeastern community banks that use customer deposits to fund loans and recently expanded through acquisitions. Watch lending growth and the integration of Camden’s Northway acquisition alongside CNB’s ESSA expansion.
S&T Bancorp Inc earningsSTBA
S&T Bancorp also uses customer deposits to fund lending in Pennsylvania and Ohio, and its report will show how the two banks’ shared markets are shaping competition for deposits and borrowers.
Compare S&T’s deposit growth and deposit costs with its loan growth and loan yields. Deposits growing at a controlled cost alongside lending would suggest the shared markets can support both banks. Rising deposit costs or pressure on loan yields would show S&T paying more to attract funds or borrowers, pointing to greater pressure on CNB’s funding costs or lending returns in those markets.
Fed Interest Rate Decision
CNB’s interest income depends on what it earns on loans and securities compared with what it pays for deposits and borrowings, so Fed rate changes can widen or narrow that gap.

If it comes in above expectations
If rates rise more than expected, CNB may have to pay more to retain depositors and fund its banking business; if loan and securities yields do not rise as quickly, its interest income after funding costs may be squeezed.
If it comes in below expectations
If rates fall more than expected, CNB may pay less for deposits and borrowings, easing funding costs; but lower yields on loans and securities may also reduce interest income.
CNB Financial Corp/PA earningsThis company
CNB Financial earns interest on loans and funds them mainly with customer deposits, so this report will show whether loan growth is outpacing the cost of that funding.
Read loan growth alongside net interest margin, the spread between what CNB earns on loans and other earning assets and what it pays for funding. Steady loan growth with a wider margin would show lending expanding without funding costs eating into returns. Slower loan growth or a narrower margin would point to weaker demand or deposit competition squeezing returns. Together, the figures show whether CNB can grow lending and preserve the return on its core banking business.
