Company

Company overview

Blackstone Digital Infrastructure Trust Inc. plans to buy newly built U.S. data centers that are already leased and collecting rent. Its target tenants are large cloud and technology companies with investment-grade credit ratings, including companies such as Amazon and Microsoft. It has not yet established this business: at the prospectus date, it had acquired no properties and had no operating revenue.

The planned leases run for long periods and include fixed annual rent increases. Tenants would generally pay electricity, property taxes, insurance and most other operating expenses, leaving the company responsible for certain structural maintenance costs. The company expects to depend on BX REIT Advisors L.L.C., a Blackstone-owned external manager, to find properties, arrange financing and oversee investments.

Rental income could depend heavily on a small number of tenants, with some occupying an entire property. If one leaves or fails to pay, a specialized building may be difficult to lease to a replacement; adequate power and water also matter for retaining or replacing tenants. The company intends to qualify as a real estate investment trust, or REIT. That status restricts its assets and income sources and requires it to distribute much of its taxable income, limiting retained cash and making acquisitions dependent on access to debt and equity funding.

BXDC’s planned rental business depends on hyperscaler expansion and Blackstone’s acquisition platform, whose private data center holdings include QTS and AirTrunk.

  • Digital Realty leases large data center facilities to the cloud and technology customers BXDC plans to collect rent from, putting them in competition for the same buyers. Watch its leasing of large facilities for a read on those customers’ demand for space, power and cooling.

  • BXDC’s planned property purchases depend on Blackstone, the investment manager that owns its external manager and provides deal access and relationships with large cloud tenants. Watch Blackstone’s data center acquisitions and tenant relationships, but its platform’s assets and staff are not reserved for BXDC.

  • Microsoft is a possible rent-paying tenant for BXDC’s planned data centers, not a confirmed one; it operates large data centers to deliver cloud software and services to customers. Its cloud business and data center expansion are the parts to watch for potential leasing demand.

  • Amazon is a prospective tenant for BXDC’s planned data center leases through its AWS business, not a confirmed source of rent. Watch AWS results rather than Amazon’s consumer stores for the business tied to BXDC’s potential tenant demand.

  • Alphabet, which operates Google Cloud, is a prospective rent-paying tenant for BXDC’s planned data centers, not a confirmed one. Watch Google Cloud separately from Google Services, whose revenue comes mainly from advertisers, when assessing potential data center leasing demand.

  • Meta Platforms could pay rent to BXDC for data centers supporting its apps and advertising services, but no lease is confirmed. Watch data center and technical infrastructure spending within Family of Apps, the business that earns substantially all of Meta’s revenue from marketers buying ads.

  • Nvidia and BXDC are exposed to spending on AI computing in different ways: Nvidia sells data center computing and networking platforms, while BXDC plans to collect rent from large cloud and technology tenants whose expansion depends on AI demand. Watch Nvidia’s Data Center business for a read on spending on the computing equipment those facilities house.
