Company overview

Netcapital connects private companies seeking capital with investors through netcapital.com. Companies pay to list their securities offerings and pay a fee tied to the money raised when an offering closes. These funding-portal and listing fees provide most of its revenue; the portal also receives issuer shares as part of its compensation. Investor money stays in escrow until closing, so revenue depends on attracting companies to the platform and investors committing funds to their offerings.

Its funding portal handles Regulation Crowdfunding offerings, while Netcapital Securities, its broker-dealer subsidiary, handles Regulation A offerings for listing and fundraising fees. The brokerage business is still at an early stage, with one issuer engagement disclosed. Netcapital Advisors previously provided marketing and strategic advice for cash or company shares; Netcapital has stopped seeking new consulting engagements and plans to keep that activity on hold.

A small number of customers contribute a significant share of revenue. The portal also depends on technology licensed from Netcapital Systems LLC and on Luminate Bank for all offering escrow services; it cannot operate without a qualified escrow bank. Securities regulations constrain both subsidiaries, and Netcapital Securities must maintain required regulatory capital and liquidity.

Know what’s buried in NCPL’s filings before you buy

The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.

Netcapital’s results depend on new issuer listings and money raised through its portal, whose essential technology is licensed from privately held Netcapital Systems LLC.

  • MDB Capital Holdings, LLC competes with Netcapital for companies seeking equity capital: MDB arranges initial financing for micro- and small-cap companies, while Netcapital charges issuers to list offerings and raise money through its portal and broker-dealer. Watch MDB’s initial financing rounds for that customer group, where the two businesses compete for fundraising clients.
