Company overview

Companies seeking private financing or a stock-market listing pay MDB Capital Holdings, LLC’s subsidiary Public Ventures, which operates as MDB Capital, to help arrange securities offerings. These investment-banking fees provide most of MDB’s operating income. Public Ventures focuses on micro- and small-cap companies and also handles the clearing and settlement of trades itself. PatentVest adds professional-service income by helping technology companies assess inventions, develop patent strategies and obtain patent protection; it also supports Public Ventures’ due diligence.

MDB also puts capital into technology companies and helps develop their businesses. It holds a significant part of its assets in eXoZymes, a publicly traded company developing a synthetic-biology platform. Its majority-owned M1 is developing small-molecule treatments aimed at aging and age-related diseases using technology licensed from Mayo. M1 is preclinical and has no commercialized products. MDB plans to realize value from partner-company holdings through transactions such as licensing, securities offerings or company sales, rather than rely on cash payments from their operations.

The business depends on completing financing transactions and funding partner companies through development. MDB funds day-to-day operations with cash on hand, subsidiary dividends and capital raising. Public Ventures must maintain regulatory capital, which can restrict dividends to MDB. To avoid investment-company registration, MDB may also have to retain majority ownership of a partner company or limit when and how it sells a holding.

MDB’s results hinge on completing micro- and small-cap financings and bringing its technology-company investments from development to commercialization, making eXoZymes a company to watch.

  • eXoZymes’ profits or losses feed into MDB’s results through its roughly 47% stake: MDB formerly consolidated the company but now records its share under equity-method accounting. eXoZymes develops ways to make natural compounds using enzymes outside living cells and had no revenue in 2025; watch whether its nutraceutical projects lead to licensing receipts or milestone payments.

  • Netcapital competes with MDB to help early-stage companies sell equity to investors, emphasizing online crowdfunding and Regulation A offerings rather than MDB’s venture financing and small-company IPOs. Both earn fees from companies raising money, so watch Netcapital’s fees from completed offerings for a read on early-stage companies’ ability to secure investor funding.
