Company

Company overview

MMTec, Inc.’s main fee-generating business runs through MM Global, its securities broker-dealer subsidiary. MM Global helps clients raise capital by placing securities with investors and collects placement-agent fees from customers. The company’s latest revenue comes entirely from these services and a single customer, making that relationship central to its business. MM Global routes transaction clearing through a separate clearing broker-dealer rather than handling it itself.

The company also builds trading and fund-management systems for Chinese-speaking brokers and investment institutions accessing overseas markets. Its ETN and PTN systems support activities such as account management, trading and settlement. This broader technology offering is distinct from its current revenue engine: its market-data and consulting segment contributes no revenue in the latest reported period.

MMTec also holds an interest-bearing note from XChange received when it sold Alpha Mind. Collecting that debt depends on XChange’s ability to pay; XChange’s auditor has questioned its ability to continue operating. The note can convert into XChange shares if it remains unpaid at maturity.

That holding may also cause MMTec to be classified as an investment company under U.S. law. Avoiding that status could limit its investments, while classification would require registration and restrict its permitted business.

MMTEC’s operating revenue depends on arranging securities placements for a single unnamed customer, but notes-receivable losses and financing costs—not securities-software sales—have dominated its net results.

  • XChange TEC.INC, which operates an insurance agency business in China, created a substantial financial exposure for MMTEC by buying Alpha Mind with a $153 million secured promise to pay, rather than competing with its operations. MMTEC agreed to transfer the remaining note in April 2025, making repayment and the transfer terms—not XChange’s insurance sales—the news relevant to MMTEC.
