iPower sells products including specialty indoor gardening supplies and helps brands and manufacturers source, distribute and deliver goods in the United States. Product sales provide most revenue; supply-chain services contribute a smaller share. Its software routes customer orders to partner fulfillment centers for packing and shipment, with third-party carriers handling delivery. It plans to expand these services so business customers can reach U.S. markets without building their own infrastructure.
Amazon Vendor and Amazon Seller business together supplies a large share of revenue, as does GPM. iPower sold GPM to ETTS AI but continues supplying it and no longer controls its decisions. On the purchasing side, iPower relies heavily on Chinese manufacturers, and one supplier accounts for most purchases. Reliable supply, import tariffs and freight costs therefore matter to its ability to fill orders profitably. Some fertilizers and nutrients require state approval or registration before they can be marketed.
iPower also holds bitcoin under a new digital-asset treasury strategy and plans to fund further purchases mainly through equity and debt financing. Bitcoin pays no interest or dividends; generating cash requires sales or additional income-producing strategies. Its digital assets and related cash are pledged to convertible-note holders, and withdrawals require release conditions to be met or consent obtained, so these holdings are not freely available cash.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Watch product orders associated with Amazon and GPM to assess iPower's remaining business after its subsidiary sale, with concentrated sourcing and tariff uncertainty also shaping results.
iPower depends on Amazon buying its products for resale to shoppers; fewer Amazon orders materially contributed to iPower's revenue decline in the year ended June 30, 2026. Watch Amazon's product orders to iPower, which fell significantly amid tariff uncertainty.
Fed Interest Rate Decision
The Fed’s rate decision signals the direction of borrowing costs, which can affect iPower’s monthly payments on convertible notes and the cost and availability of financing it relies on for operations and growth.

If it comes in above expectations
Higher rates across the economy could raise the cost of new borrowing or debt that reprices, adding pressure to iPower’s financing costs and potentially making funding operations or growth harder to secure.
If it comes in below expectations
Lower rates could make new borrowing cheaper and ease financing pressure on iPower, potentially helping it secure funding for operations or growth on more favorable terms.

Amazon's report will show whether its product orders from iPower are recovering, after fewer orders materially contributed to iPower's revenue decline.
Watch whether Amazon's product orders recover, and read that alongside the tariff uncertainty that weighed on them. A recovery would suggest iPower may regain demand from this major buyer; continued weakness would leave iPower's product sales without support from a major customer.
Retail Sales MoM (Oct)
Retail sales track consumer spending at stores, and because Amazon customers accounted for 38% of iPower’s FY2026 revenue and product sales are its largest source of operating cash, that spending can flow through to customer orders and the cash generated by product sales.
If retail sales strengthen, that suggests consumer spending may be supporting orders from iPower’s retail customers, including Amazon; if sales weaken, it suggests less support for those orders and for the cash generated by product sales.

iPower's report will show whether product sales and supply-chain service income can stabilize after Amazon orders fell sharply and it sold subsidiaries.
Read product sales and service income separately, then check whether total revenue has stopped falling. If both stabilize, the remaining business is beginning to make up for lost orders; if they keep declining, new business has not filled the gap and iPower's revenue base is still shrinking.
