Company

Company overview

Hilltop Holdings is a Texas-based financial holding company with banking, securities and mortgage businesses. Its PlainsCapital banking subsidiary takes deposits mainly from Texas businesses and residents and lends to businesses and individuals. Banking income comes mainly from the interest earned on loans and investments minus deposit and borrowing costs. The business depends on retaining deposits, the spread between lending and funding rates, and borrowers’ ability to repay; much of its lending is secured by Texas real estate.

Securities services are another major revenue source. Hilltop Securities and its related businesses help clients raise money, trade securities and manage investments, earning mostly advisory fees and brokerage commissions. Public finance includes helping municipal issuers bring bonds to market. Revenue depends on customer trading and investment activity and on completing client transactions.

PrimeLending makes residential mortgages nationwide, mainly for home purchases. It borrows from the Bank to fund loans, sells substantially all of them to secondary-market investors and uses the proceeds to repay that funding. It earns mainly loan-sale gains and origination fees, making mortgage demand, interest rates and buyers’ willingness to purchase loans important to its business.

The holding company relies substantially on dividends from its subsidiaries to meet its own expenses and obligations. Regulatory capital and dividend restrictions limit how much cash those subsidiaries can distribute, and its broker-dealers may conduct only activities permitted for bank-holding-company subsidiaries.

  • Southside Bancshares, Inc. competes with Hilltop's bank for Texas households’ and businesses’ deposits and for commercial and real-estate borrowers. Its deposit pricing and commercial-property loan quality offer clues to the conditions Hilltop faces in the same markets.

  • Home BancShares, Inc., through Centennial Bank, competes with Hilltop's bank for Texas commercial banking customers; both lend to businesses and real-estate borrowers.

  • Trustmark Corp competes with Hilltop for Texas customers using banking and wealth-management services, with its Texas business concentrated around Houston. Its Houston operations are the part to watch for conditions in their overlapping market, rather than its business across other states.

  • Hancock Whitney Corporation competes with Hilltop's bank for Texas businesses needing banking and help managing cash, as well as customers seeking wealth management.

  • Northpointe Bancshares, Inc. competes with Hilltop's PrimeLending for residential borrowers nationwide and with Hilltop's bank by funding mortgage lenders before they sell the loans. Watch its residential lending and Mortgage Purchase Program volumes for a read on the mortgage activity that also matters to Hilltop.

  • CUSTOMERS BANCORP INC overlaps with Hilltop's bank in financing mortgage lenders and lending to businesses and real-estate borrowers, while offering certain lending products nationally. Its mortgage-finance lending is the line to compare with Hilltop's funding of mortgage originators, rather than treating all of its loans as a Texas banking comparison.
