AI Financial Corporation’s paying customers are businesses, including financial institutions and merchants. ALT5 Pay lets merchants accept cryptocurrency and either keep the digital assets or convert payments into traditional currencies. ALT5 Prime lets approved customers buy and sell digital assets using traditional currencies. Customers pay setup, monthly maintenance and transaction fees; transaction fees account for a large portion of fintech revenue. StrataCarte, formerly Mswipe, adds payment cards on the Visa and Mastercard networks that let users spend traditional and digital currencies.
Fintech supplies all of the company’s revenue. Its earnings depend heavily on transaction activity, which varies with crypto-market demand, and on banks and payment partners that enable currency transfers and settlement. Financial-services and anti-money-laundering requirements can restrict the customers and services it may support. A Rwandan court ordered subsidiary ALT5 Sigma Canada dissolved and funds forfeited in a money-laundering case concerning events before its acquisition; the subsidiary disputes the findings and has appealed.
The company also holds clinical-stage drug-development assets through Alyea Therapeutics, focused on non-opioid treatments for pain and addiction. Alyea has no revenue and continues to receive company funding. A separation is planned, but its structure has not been decided. Separately, the company has used substantial capital to purchase WLFI tokens, alongside raising funds through equity and debt.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
AI Financial’s revenue hinges on business customers’ digital-asset trading and payment volumes, in a market that also includes privately held Kraken and Binance.
Coinbase Global competes with AI Financial for institutional digital-asset trading customers, including banks, funds and payment firms, despite its larger consumer business. Watch Coinbase’s institutional trading activity for a read on demand from the business customers AI Financial serves through ALT5.

Coinbase's report will show how institutional digital-asset trading is changing, offering a read on demand from the banks, funds and payment firms that AI Financial's ALT5 serves.
Focus on Coinbase's institutional trading activity, not just total trading, because its consumer business is larger. Rising institutional activity would indicate a busier market among the banks, funds and payment firms ALT5 serves, potentially supporting ALT5 trading demand and transaction-fee revenue. A decline would point to weaker activity among those potential customers, but Coinbase alone cannot establish how ALT5's own revenue changed.

AI Financial's report will show whether ALT5's digital-asset trading and payments and Mswipe's payment cards turn more activity into gross profit after the cost of serving it.
Read Fintech revenue alongside its gross margin, the share of revenue left after direct service costs. Revenue rising while the margin holds or improves means added payment and trading activity is leaving more gross profit; revenue rising with a falling margin means the cost of serving it is taking a larger share. Then check whether Fintech's operating loss narrows: that shows whether gross profit is beginning to cover its operating expenses.
