Company

Company overview

WeShop Holdings Limited helps UK consumers discover products through user reviews, recommendations and retailer listings. Users follow links to retailers or service providers and buy directly from them; WeShop does not hold inventory or process the purchase itself. For qualifying transactions, the seller pays an affiliate network, which passes an agreed share of the commission to WeShop. Most revenue comes from these commissions, with a smaller contribution from retailers and brands paying for prominent placement on the platform.

Its Shareback program awards users WePoints for qualifying purchases or other eligible activity. These points are not shares: users may redeem them for company shares only after a required holding period, within specified redemption windows and subject to eligibility and securities-law requirements. U.S. holders must wait for an updated registration statement to be filed and become effective before redeeming under that statement.

WeShop has worked with affiliate networks including Awin and Impact. A small group of network partners supplies most revenue and provides access to retailers, product listings and transaction data. The business depends on those relationships and on keeping both shoppers and retailers active: fewer retailer listings can discourage shoppers, while weaker referrals can cause retailers to withdraw or spend less.
