Company

Company overview

Seritage Growth Properties is working to sell all its remaining property assets, distribute net proceeds to shareholders and dissolve the company. Its Plan of Sale covers properties it owns directly and interests held through other entities. To improve sale value, it seeks to lease available space, secure development approvals and modify agreements that govern its properties. The board can suspend the plan.

Tenants pay rent and reimburse certain property expenses under their leases, providing substantially all revenue. Rental income depends heavily on its two largest tenants, which together account for most base rent. Asset sales, however, are the company’s principal near-term source of cash, making property buyers central to funding the business.

Sale proceeds must cover debt, preferred-share redemption and other obligations and costs before reaching common shareholders. The pace and value of sales depend on finding buyers and their access to financing. Property agreements can also restrict redevelopment, leasing or sales, sometimes requiring third-party consent or giving another party purchase rights.

  • AH Realty Trust, Inc. leases retail and mixed-use properties in categories that overlap with those Seritage Growth Properties leases and is preparing to sell; both receive rent from tenants. • Curbline Properties Corp. and Seritage Growth Properties both collect rent from retailers leasing U.S. space, but Curbline focuses on convenience shopping centers rather than selling off its assets.
