Sow Good Inc. no longer operates manufacturing facilities or sells directly to retailers or consumers. After selling substantially all its manufacturing assets in December 2025, it focused on brand development, product strategy and marketing for Sow Good freeze-dried candy and snacks.
Under its distribution arrangement, related party Trea Grove handled sales, warehousing and order fulfillment, while outside manufacturers supplied products. Trea Grove paid Sow Good a fixed share of gross customer receipts from sales of remaining finished-goods inventory. This made commission income dependent on a single distribution partner and demand for freeze-dried candy, a category that had experienced declining sales. The exclusive worldwide agreement was scheduled to end in July 2026; management is evaluating strategic alternatives.
The products and supply partners must meet food-safety, ingredient and labeling requirements. Noncompliance can lead to recalls or restrictions on manufacturing and sales.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Sow Good’s results hinge on strategic alternatives and commissions from Trea Grove’s inventory sales under the agreement ending July 31, 2026; privately held Mars is another direct freeze-dried-candy rival to watch.
Hershey competes directly with Sow Good for freeze-dried-candy buyers and also sells competing non-chocolate sweets. Watch its candy offerings, pricing and retailer shelf access: those are areas where Sow Good says it competes for customers.

Hershey’s report will show how its candy offerings and pricing shape the fight with Sow Good for retailer shelf space and candy buyers.
Look at Hershey’s candy offerings and pricing, alongside retailer shelf access for those products. More room for freeze-dried and other non-chocolate sweets at competitive prices would suggest retailers are making space for the category; if Hershey’s products take more shelf space or compete more aggressively on price, Sow Good will have a harder time reaching retailers and buyers.

Sow Good’s report will show whether commissions on remaining candy inventory sold by its exclusive distributor can cover the company’s operating costs.
Read commission revenue from the distributor alongside operating expenses and losses. Rising commissions with narrowing losses would show that sales of the remaining inventory are generating income for the asset-light model; scant commissions and continuing losses would show that this revenue still cannot cover the business’s costs, leaving its ability to continue operating in question.
