Company

Company overview

Chicago Atlantic Real Estate Finance, Inc. provides capital to cannabis businesses that have limited access to traditional financing. It operates as a mortgage real estate investment trust, or REIT: it invests in loans rather than running cannabis facilities. Its portfolio consists mainly of senior loans to state-licensed operators, secured by commercial real estate and, where legally permitted, other borrower assets. It generally lends alongside affiliates or other investors, holding part of each loan. Borrowers usually pay interest monthly, with lending and repayment-related fees adding income.

The company has no employees of its own and relies entirely on an external manager to find, assess and monitor loans. Its portfolio is concentrated in a limited number of loans, making collections particularly dependent on those borrowers’ performance. Expanding its lending also depends on raising equity or borrowing, while financing costs affect how much loan income it keeps.

State licensing does not make cannabis operations legal under U.S. federal law. Legal restrictions and Nasdaq rules prevent the company from taking ownership of property while it remains in cannabis use; foreclosure may require evicting the borrower and removing cannabis before taking possession. REIT rules and its exemption from investment-company registration also restrict which assets it can hold.
