Reborn Coffee buys green coffee beans through third-party importers and exporters, roasts them, and sells coffee, tea, baked goods and desserts to café customers. Store sales provide most of its revenue. Its cafés are company-operated, with its US locations concentrated in California and a retail presence in Malaysia.
Outside its cafés, it supplies coffee and tea to hotels, offices and hospitality groups, and sells packaged coffee through Amazon, reborncoffee.com and third-party retailers. Wholesale and online sales contribute a small share of revenue; logistics service income and license income are more substantial additional sources. These are distinct from its planned franchise business: it had no franchisees or franchise agreements at the end of 2025 and planned to begin franchise sales in 2026, charging an initial fee and ongoing fees tied to sales.
The café business depends on customer purchases in its concentrated California market and on the availability and cost of coffee beans. Operating stores and opening new ones also require food-service, health, zoning and other local approvals.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Reborn Coffee’s results hinge chiefly on its small, mostly California cafe network and new service and license income, making these larger coffee businesses only partial comparisons.
TH International and Reborn Coffee both depend on customers buying coffee drinks and baked goods, but TH International’s Tim Hortons shops serve mainland China while Reborn’s cafes are mostly in California. Watch its beverage and food sales as a comparison for Reborn’s cafe business, not as a direct read on demand in California.
McDonald’s competes with Reborn Coffee for customers’ coffee purchases in California through its McCafé coffee and espresso drinks. Coffee is only part of McDonald’s much larger business, so its overall results are a limited guide to Reborn’s cafes.

McDonald’s report will show how customers are buying its coffee and espresso drinks in California, offering a limited competitive read for Reborn Coffee’s cafes.
Look for disclosed signs of drink sales or customer traffic, separately from McDonald’s overall results. Steady or stronger coffee demand would show California customers still buying coffee from a large chain, supporting the view that Reborn Coffee faces an active competitive market; weaker demand could signal a pullback in shared coffee purchases, but McDonald’s total results cannot stand in for Reborn’s store sales.

Reborn Coffee’s report will show whether store sales, after the cost of drinks and food, can carry more of this loss-making business.
Read store revenue alongside the cost of drinks and food, then see how much service and license income contribute. Rising store revenue without faster cost growth would show the cafes carrying more of the business; weaker stores or rising costs while service or license income props up total revenue would leave the cafes’ ability to ease operating losses unproven.
