RedCloud Holdings plc operates RedAI, a business-to-business platform where retailers source fast-moving consumer goods from brands and distributors, mainly through the Red 101 app. Suppliers handle the goods and delivery; RedCloud does not sell products itself or hold inventory. Most revenue comes from platform trading: brands and distributors pay a fee based on the value of orders delivered to and accepted by retailers. Retailers pay no transaction fee.
RedAI also uses trading data to provide insights and purchasing recommendations. RedCloud has begun adding subscription packages for mid-market distributors alongside transaction fees, while joint ventures pay annual fees to license its infrastructure in their markets. These newer arrangements extend the business beyond charging for individual trades.
Nigeria supplies most revenue, with South Africa accounting for most of the remainder. The business depends on suppliers and retailers continuing to trade and on suppliers completing deliveries. Amazon Web Services is its sole cloud provider. RedCloud also says continued operations depend on securing sufficient financing and improving operating performance because its liquidity is severely constrained.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
RedCloud’s results depend more on FMCG distributor and retailer activity in Nigeria and South Africa, transaction fee rates and uptake of its new subscription and licensing offerings than on these much larger software rivals’ performance.
SAP competes with RedCloud in software that helps businesses manage commerce and supply-chain decisions: customers pay SAP for cloud subscriptions, software and services, while RedCloud is adding distributor subscriptions and infrastructure licensing to its transaction fees. Watch SAP’s push to embed AI across its business applications and whether it turns more attention to RedCloud’s markets, which are not currently its main focus.
Oracle competes with RedCloud in software for business-to-business commerce and supply chains, although its current focus lies outside RedCloud’s principal markets; Oracle sells cloud and software, hardware and services, while RedCloud charges brands and distributors for platform transactions and is adding subscription and licensing revenue. Watch whether Oracle moves further into RedCloud’s markets, where its greater resources and broader platforms could make it harder for RedCloud to attract users and increase engagement.
RedCloud relies on DLocal Limited to process some payments between retailers and distributors or brands: dLocal charges merchants for payment processing, while RedCloud charges brands and distributors for orders on its platform, not retailers. Watch dLocal’s payment pricing and service availability, since higher provider fees raise RedCloud’s operating costs and less convenient payments can make its trading networks less attractive.

SAP’s report will show whether its AI push is bringing it closer to the markets RedCloud serves.
Read SAP’s AI expansion across business applications alongside any sign that it is paying more attention to RedCloud’s markets. If both advance, SAP’s broader platform and greater resources could make it a closer rival for brands, distributors and retailers; if its AI push grows but its focus stays elsewhere, the direct competitive pressure on RedCloud remains more limited. The question is whether SAP is becoming a competitor in RedCloud’s markets, not simply whether SAP is investing in AI.
DLocal Limited earningsDLO
DLocal’s report will show whether payment processing that RedCloud relies on is becoming more costly or less dependable.
Look at what DLocal reports about merchant payment-processing fees and service reliability. Higher fees can raise RedCloud’s costs for payment services; interruptions or less convenient processing can make it harder for retailers and distributors to trade through RedCloud’s network. Stable fees and reliable service ease both pressures, while rising fees or weaker service point to higher costs or a less attractive network for RedCloud.
