PAVmed owns a majority interest in Veris Health and retains a significant stake in Lucid Diagnostics. Veris supplies oncology practices and hospitals with its Cancer Care Platform, which lets clinicians monitor patients remotely using connected devices and patient-reported symptoms. It charges monthly subscriptions for each patient on the platform; these subscriptions account for most of PAVmed’s current product and service revenue. Providers can seek reimbursement for remote monitoring services.
Lucid sells EsoGuard, a DNA test that checks esophageal cells collected with EsoCheck for signs of Barrett’s esophagus and esophageal cancer. Out-of-network commercial insurers supply the vast majority of Lucid’s revenue. EsoGuard is marketed in limited circumstances as a laboratory-developed test without FDA clearance or approval, although EsoCheck has FDA clearance. Broader commercialization depends heavily on insurance reimbursement, and a final Medicare coverage determination remains outstanding.
PAVmed’s sales remain small. It relies heavily on Lucid’s management-service payments to fund its own operations and also needs outside financing to support development and commercialization.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
PAVmed’s outlook hinges on its retained stake in Lucid Diagnostics, adoption of Veris Health’s oncology monitoring platform, and funding for its development pipeline.
Lucid Diagnostics still matters to PAVmed through its substantial retained stake and significant influence, even though Lucid’s results are no longer consolidated; Lucid also pays PAVmed for management services, in cash or shares at PAVmed’s election. Watch commercial insurers’ out-of-network payments for EsoGuard, Lucid’s test for esophageal precancer and cancer in at-risk patients: these have supplied the vast majority of Lucid’s revenue to date.

Lucid Diagnostics’ report will show whether out-of-network commercial insurance payments sustain its EsoGuard business, which matters to PAVmed’s retained stake and management-services income.
Look at Lucid’s EsoGuard revenue and whether it continues making management-service payments to PAVmed. Resilient test revenue and continued payments would show commercial support for Lucid and support PAVmed’s stake and potential source of funds; weaker revenue or payments would signal pressure on Lucid’s business and could reduce one source of funds for PAVmed. Lucid’s results are not consolidated into PAVmed’s.

PAVmed’s report will show whether Veris platform subscriptions are growing enough to ease the company’s cash use and need for outside financing.
Read Veris subscription revenue alongside cash used in operations. Rising subscriptions with less operating cash use would show Veris beginning to shoulder more of PAVmed’s costs; stagnant revenue with continued cash outflow would mean PAVmed still depends on financing to fund operations.
