OneSpaWorld Holdings Limited runs health and wellness centers aboard cruise ships and, on a smaller scale, at destination resorts. It recruits and trains the staff who provide treatments such as massages and facials, aesthetic procedures and fitness services. Guests pay for these services and related care products; services account for most revenue, and shipboard centers generate the vast majority of sales.
Long-term cruise-line agreements give OneSpaWorld exclusive rights to operate these services on covered ships. Guests pay through the cruise line, which keeps an agreed share of sales and sends the remainder to OneSpaWorld. Agreements typically cover a partner’s whole operating fleet and add new ships equipped with wellness centers during the contract term.
Most revenue comes from passengers sailing with Carnival, Royal Caribbean and Norwegian Cruise Line groups, with Carnival the largest source. The business depends on those partnerships, ships remaining in service and guests choosing to spend at its centers. Some agreements require minimum payments to cruise lines or resort owners regardless of guest revenue.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
OneSpaWorld’s results hinge on cruise fleet growth, passenger volumes and onboard wellness spending, with Carnival, Royal Caribbean and Norwegian together accounting for 85.5% of its 2025 revenue.
OneSpaWorld relies most on Carnival’s cruise brands: onboard spa services supplied to their vacation guests accounted for 39.6% of its 2025 revenue, with Carnival collecting guest payments, keeping a share and passing the rest to OneSpaWorld. Watch Carnival’s new ships, since OneSpaWorld’s fleet agreements generally add new ships with wellness centers.
Royal Caribbean Group’s cruise guests support a large part of OneSpaWorld’s business: spas aboard Royal Caribbean, Celebrity and Silversea ships generated 28.2% of its 2025 revenue, with guests paying through the cruise line, which keeps a share. Watch passenger volumes across those three vacation brands for the customer base available to OneSpaWorld’s onboard spas.
OneSpaWorld shares in spending by Norwegian Cruise Line Holdings’ vacation guests: spas aboard Norwegian Cruise Line, Oceania Cruises and Regent Seven Seas Cruises ships accounted for 17.7% of its 2025 revenue, with the cruise lines collecting payments and retaining a share. Watch those guests’ spending on onboard wellness services, rather than cruise ticket revenue alone.
Royal Caribbean Group earningsRCL
Royal Caribbean's report will show whether passenger volumes across its brands are growing or shrinking, changing the pool of potential customers for OneSpaWorld's shipboard spas.
Watch passenger volumes across Royal Caribbean, Celebrity and Silversea. More passengers mean a larger pool of potential customers for OneSpaWorld's spas aboard those ships; fewer mean a smaller pool. Passenger counts are a signal of available customers, not OneSpaWorld sales: guests must actually buy services or products, and Royal Caribbean keeps a share of receipts. The conclusion is whether this group of brands is expanding or shrinking the potential customer pool, not whether OneSpaWorld sales have necessarily moved with it.
Fed Interest Rate Decision
The Fed’s decision on its benchmark interest rate affects what OneSpaWorld pays to service its $85 million of variable-rate term debt.

If it comes in above expectations
If the rate is higher than expected, higher borrowing costs can increase OneSpaWorld’s debt-service expense, leaving less cash for its operations and planned spending.
If it comes in below expectations
If the rate is lower than expected, borrowing costs can ease and reduce debt-service expense, leaving more cash for OneSpaWorld’s operations and planned spending.
Norwegian Cruise Line Holdings Ltd. earningsNCLH
Norwegian Cruise Line Holdings' report will show whether its guests are spending more onboard, a broad signal of the wallet available for OneSpaWorld's spa services.
Read Norwegian Cruise Line Holdings' passenger volumes alongside onboard spending per passenger. Stable or rising passenger numbers with higher per-passenger spending would point to stronger overall spending onboard, which may support OneSpaWorld's spa services; falling spending per passenger would suggest guests are tightening their wallets even if passenger numbers hold up. Onboard spending covers many things, not spa purchases alone. The conclusion is whether these guests' overall onboard spending is strengthening or weakening, not a direct reading of OneSpaWorld spa sales.

OneSpaWorld's report will show whether its shipboard spas are open on more passenger-carrying voyages and whether each ship is generating more revenue.
Read revenue days alongside average weekly revenue per ship. Revenue days count days when centers are open on passenger-carrying, revenue-generating cruises; a higher weekly figure means each ship brings in more revenue on average, but does not by itself prove a higher margin. If both rise, operating days and revenue per ship are improving together. If revenue days rise while the weekly figure is flat or falling, the added operating time is not bringing in more revenue per ship. The conclusion is whether growth comes from both more operating opportunities and stronger revenue per ship, or mainly from more operating days.
Carnival Corporation Ltd. earningsCCL
Carnival's report will show whether its fleet is adding ships that could create new onboard spa opportunities for OneSpaWorld under their agreements.
Watch Carnival's new-ship deliveries and entry into service. A ship can add operating days and potential revenue for OneSpaWorld only if it is covered by an agreement, has a wellness center and begins operating; fewer or delayed additions narrow that fleet-growth path. A ship delivery alone does not mean immediate OneSpaWorld revenue. The conclusion depends on whether covered ships actually enter service with open centers and paying guests.
