NexGel makes water-rich gels that other companies use in wound-care, drug-delivery and cosmetic products. Customers pay for gel rolls made to their specifications, then package them into finished goods. This contract-manufacturing business was historically its main revenue source. NexGel also supplies finished, packaged products for customers to sell under their own brands; some arrangements start with a customer-paid development fee before a product order follows.
The company also sells directly to consumers through online and retail channels. MedaGel offers over-the-counter blister and pain remedies, Kenkoderm sells skincare for people with psoriasis, and Silly George focuses on false eyelashes and other eye-related beauty products. For these brands, NexGel handles marketing, sales and distribution rather than leaving those tasks to manufacturing customers.
Its consumer business relies heavily on Amazon and Shopify to reach buyers and distribute products. Across contract manufacturing and consumer products, sales depend on purchase orders: customers have no contractual obligation to buy a minimum amount.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
NEXGEL also relies on its CG Laboratories joint venture for finished-goods capabilities and on Berry Global, DeWolf Chemical and Univar for its principal raw-material supplies.
NEXGEL's expansion depends on Celularity granting it exclusive rights to develop and sell certain degenerative-disease products, with payments and assumed sales-representative obligations attached. Celularity sells placental-derived materials used to repair tissue; sales of Biovance 3L and Rebound, its main degenerative-disease products, are worth watching for demand in the portfolio behind NEXGEL's expansion.
MiMedx Group competes with the Celularity products NEXGEL has licensed to sell, offering tissue from donated human placentas for wound treatment and surgery. Its U.S. wound-care and surgical sales are the closest area to watch for competitive pressure on NEXGEL's licensed biomaterials.
Procter & Gamble competes for consumer purchases through the same retail and online channels NEXGEL uses to sell its healthcare, skincare and beauty brands. P&G sells a much broader range of everyday products, so its overall sales are a less precise comparison for NEXGEL's branded consumer-product growth.

MiMedx’s report will show what U.S. wound-care and surgical sales say about demand and competition in the market for Celularity products NexGel is licensed to sell.
Watch MiMedx’s U.S. wound-care and surgical sales alongside its comments on demand. Stronger sales could show an active market, but also mean this competitor is selling more; weaker sales could point to softer demand, not a gain in NexGel’s share. The distinction is whether the report signals market demand or a competitor’s strength.

NexGel’s report will show whether the consumer brands driving recent growth are translating into better operating results.
Read revenue alongside gross profit, selling and administrative expenses, and operating loss—not sales alone. If consumer brands keep lifting revenue, gross profit grows, and the operating loss narrows even as selling and marketing costs rise, the brands are improving the business’s economics. If revenue rises but the loss stays wide or widens, sales growth has not yet made the business more self-supporting.

Celularity’s report will show whether sales of the degenerative-disease products behind NexGel’s expansion plans point to real demand.
Watch sales of Celularity’s Biovance 3L and Rebound alongside its comments on demand. Stronger sales would support demand for the portfolio behind NexGel’s expansion plans; weaker sales would leave that opportunity on less firm ground. But these sales alone do not establish whether Celularity will grant NexGel exclusive development and sales rights, or whether the related payments and sales-representative obligations would pay off.
