Lichen China Limited helps businesses in China improve financial management, internal controls and tax compliance under its “Lichen” brand. It assesses each client’s needs, assigns consultants and experts, and agrees a fee before work begins, collecting payments as the project progresses. These engagements generate most of its revenue and are mainly project-based rather than recurring, so it needs to keep winning new work or repeat assignments.
A smaller business sells financial and tax analysis and training software, with maintenance, to enterprises and educational institutions. Lichen also advises businesses preparing for U.S. or Hong Kong listings, charging ongoing advisory fees and additional fees tied to successful fundraising. It has ended its former education-support business, which supplied materials and support to institutions using the Lichen brand.
Customers are overwhelmingly in China, with no single customer dominating revenue. Referrals from partner institutions and executives’ networks help bring in work. The offshore parent operates through Chinese subsidiaries and depends on their distributions for cash. Chinese rules limit those distributions to available after-tax profits after required reserves, while foreign-exchange controls restrict moving funds overseas.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Lichen's results depend chiefly on mainland Chinese enterprises' spending on financial and tax consulting, price pressure from local bookkeeping agencies moving into consulting, and how fully its consultants are kept busy.
Greenpro competes with Lichen for Chinese enterprises paying for tax planning, financial consulting and help with overseas listings, overlapping both Lichen's core consulting business and its new IPO advisory service. Watch Greenpro's advisory business serving Chinese enterprises for signs of demand for these services.
ATIF Holdings Limited competes for enterprises paying for help to go public, but Lichen's newly launched IPO advisory service accounted for only 3.30% of its 2025 revenue. ATIF's business guiding small and medium-sized enterprises through listing is worth watching for demand in this niche, rather than for Lichen's main financial and tax consulting business.
