Most of The Intergroup Corporation’s revenue comes from a single hotel, the Hilton San Francisco Financial District, owned through its majority-owned subsidiary Portsmouth Square, Inc. Business and leisure travelers pay for rooms, which provide most of the hotel’s revenue; dining and parking bring in additional revenue.
The other main source of revenue is rent from apartment and commercial-property tenants. Intergroup manages its rental properties in-house, with its real estate holdings concentrated in Texas and Southern California. It also invests some of its capital in securities and other investments, which can generate income or losses.
The hotel makes the business particularly dependent on San Francisco’s travel and convention demand. Aimbridge Hospitality manages it under a Hilton franchise, so operations also depend on the manager’s performance and maintaining the Hilton relationship and brand standards. Hotel receipts flow into lender-controlled accounts to cover approved operating expenses, debt payments and required reserves, limiting the cash available for other corporate uses.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
InterGroup’s results depend chiefly on San Francisco business and convention travel and on apartment occupancy and rents in Texas and Southern California.
InterGroup and American Realty Investors both collect rent from apartment and commercial-property tenants, and InterGroup also holds American Realty Investors shares—29.2% of its marketable equity portfolio’s fair value at June 30, 2026. American Realty Investors’ apartment occupancy and rents offer a read on the rental conditions that also affect InterGroup.
Fed Interest Rate Decision
For InterGroup, the Fed’s policy-rate decision signals whether financing costs on its hotel and property mortgage debt may rise or ease, affecting interest expense and cash available for operations and debt payments.

If it comes in above expectations
If the Fed sets rates above expectations, repricing debt and future refinancing could cost InterGroup more, leaving less cash for hotel and property operations and debt service.
