IMC Rare Earths Ltd is working to establish whether its Itarantim rare earth project in Brazil can become a commercial mine. Its Brazilian subsidiary, Niobium Brazil Importação e Exportação Ltda., holds the project’s mineral rights. Itarantim is still at the exploration stage, and IMC has no operating mines or revenue. It funds its work through equity investment and shareholder loans, with offering proceeds intended to support exploration and related expenses.
If Itarantim enters production, IMC expects to sell rare earth carbonate. Under a long-term purchase agreement that starts when commercial operations begin, Havilah is entitled to a substantial share of production and may buy additional output. Prices will follow market references adjusted for the material delivered and processing charges. Havilah, a related party owned indirectly by Francesco Scolaro, also holds a perpetual royalty on gross mineral sales proceeds, payable regardless of profitability.
The business depends on Itarantim and on raising more capital to advance it. Further drilling, processing tests and feasibility studies must establish whether commercial development is viable. Current research permits allow exploration and testing, not ordinary commercial extraction; mining requires a Brazilian mining concession and environmental and other applicable licenses.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
IMC Rare Earths Ltd’s prospects hinge on financing and developing its pre-revenue Itarantim rare-earth project and on rare-earth prices; watch Havilah, which holds rights to buy 50% of future production plus an option for another 25%.
