Company

Company overview

Great Elm Group combines investment management with property development and construction services. Real estate supplies most of its revenue, with property sales the largest source. Its MBTS subsidiary buys land and signs leases covering the land and planned buildings before completing development. The leases begin once construction is substantially complete, and the company intends to sell the properties with those leases attached. Monomoy Construction Services serves the group's real estate businesses and plans to expand consulting for outside clients.

Investment vehicles also pay Great Elm Group to manage their assets. GECM manages GECC, a publicly traded business development company, and private funds; MCRE manages Monomoy UpREIT, which focuses on industrial outdoor storage properties. Fees depend on managed asset values, rents collected and, where applicable, investment performance. Great Elm Group also owns GECC shares that pay dividends.

A significant part of revenue depends on retaining management agreements with vehicles including GECC and Monomoy UpREIT. Their boards can cancel the agreements without termination payments, and falling asset values can reduce fees. Property-sale revenue depends on completing developments and securing buyers. To avoid regulation under the Investment Company Act, Great Elm Group generally must limit investment securities held at the parent-company level, constraining how it invests its own capital.
