Chagee’s teahouses sell freshly made tea drinks, chiefly tea lattes made with tea and milk. Most stores are in China, with a smaller overseas network. Franchise operators run most locations; Chagee also operates its own stores and sells drinks directly to consumers.
When franchise stores sell drinks, they need to replenish ingredients and packaging purchased from Chagee. These supplies account for most of the company’s revenue. Franchise operators also buy store equipment and pay initial franchise fees and ongoing royalties, generally linked to store sales, for using the brand and receiving operating support. Chagee is not dependent on any single franchise operator.
The business therefore depends on demand for its signature tea lattes, franchise stores’ sales and service standards, and reliable supplies of perishable ingredients. Stores need food-operation and fire-safety approvals, while Chagee must maintain franchise registrations and filings. Some company-owned stores have not completed required fire-safety filings or inspections and could be ordered to stop operating.
The risk section is the longest, dullest part of the filing. This keeps only what can really hurt you: where it hits, how hard, when it plays out.
Every company claims an edge. Each one is checked against hard numbers like margins and returns: which hold, and which line gives way first.
Chagee’s results depend chiefly on Chinese demand for tea lattes, sales per store across its increasingly dense network, and franchisees’ purchases of ingredients and packaging.
Starbucks competes with Chagee for consumers’ freshly prepared beverage spending in China, selling coffee and tea through branded stores while Chagee focuses on tea lattes. Watch Starbucks’ efforts to raise sales at existing Chinese stores and open new ones for signs of competition facing Chagee’s tea-latte business.

Starbucks’ report will show whether its existing China stores are drawing more customers in the freshly prepared drinks market it shares with Chagee.
Look at Starbucks’ sales at existing China stores alongside changes in its store count. Improving existing-store sales with continued openings would show Starbucks still attracts consumers choosing among these drinks, strengthening competition for Chagee. Weakening sales would indicate less pull from Starbucks, but would not by itself show that consumers are switching to Chagee.

Chagee earns mainly by supplying franchise stores and collecting fees and royalties, so its report will show whether franchise revenue can steady as store sales remain under pressure.
Read revenue from franchised stores alongside same-store GMV (gross merchandise value, or store sales) and company-owned-store revenue. Stabilizing franchise revenue and same-store GMV would show that franchisees’ store activity still supports supply sales and royalties. If both keep falling while company-owned revenue grows, growth is leaning more on Chagee’s own stores and the franchise model remains under pressure.
